Terms of Service
These terms govern how hosts use SignBreezy to send rental paperwork and how guest signatures are captured and sealed.
Acceptance of terms
By creating a SignBreezy account or sending an agreement through SignBreezy, a host agrees to these terms. By signing a document through a SignBreezy link, a guest agrees that their electronic signature carries the same legal weight as a handwritten one under the U.S. ESIGN Act and UETA.
The service
SignBreezy lets hosts turn a rental template into a document that a guest can sign from any phone, and produces a sealed PDF with a timestamped audit certificate once signing is complete. Plans are billed per contract or per month as described on the pricing page; every plan covers unlimited properties.
Host responsibilities
Hosts are responsible for the accuracy of the terms in their own templates — nightly rates, deposit amounts, house rules and local disclosures — and for complying with the landlord-tenant and short-term rental laws that apply to their property.
Guest signing
A guest's typed or drawn signature, together with the recorded timestamp and IP address, is captured as evidence of consent to the document's terms. Guests are not required to create a SignBreezy account to sign.
ID verification
When a host enables ID verification, the guest's government ID photo is captured solely to confirm identity and is encrypted; it is billed per signer as described on the pricing page and is never bundled as unlimited.
Payment and cancellation
Pay-as-you-go hosts top up their balance and are charged only when a document is signed. Monthly plans can be cancelled at any time; access continues through the end of the paid period. Record access, export and retention are never restricted based on plan or cancellation.
Limitation of liability
SignBreezy provides the tools to create, send and seal documents but is not a party to the rental agreement itself and is not responsible for the terms hosts choose to include or for disputes arising between a host and a guest.

These Terms of Service ("Terms") govern access to and use of SignBreezy, a service operated by Stacks Cloud LLC, a California limited liability company ("SignBreezy," "Stacks Cloud," "we," "us," or "our"). By creating an account, accessing SignBreezy, or using the Services, you agree to these Terms.
1. SignBreezy
SignBreezy provides tools that help vacation rental owners, hosts, property managers, and other accommodation providers ("Hosts") prepare, send, complete, sign, store, and manage rental agreements and related records.
Depending on the features selected by a Host, SignBreezy may:
- receive reservation information from booking platforms, emails, integrations, or information entered by a Host;
- populate agreements with reservation, property, guest, host-provided, and calculated information;
- collect information directly from guests;
- facilitate electronic signatures;
- collect copies of government-issued identification;
- provide optional identity-verification services;
- perform calculations based on information and formulas configured by a Host;
- retain completed agreements and associated records; and
- integrate with third-party services.
SignBreezy provides technology for facilitating agreements. SignBreezy is not a party to rental agreements between Hosts and guests and is not a property manager, booking platform, landlord, tenant, innkeeper, guest, attorney, tax adviser, or governmental authority.
2. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into a binding agreement to create a SignBreezy account.
You are responsible for maintaining accurate account information and safeguarding your account credentials. You are responsible for activity conducted through your account by persons you authorize.
You must promptly notify us if you believe your account has been accessed without authorization.
3. Host Responsibilities
Hosts are responsible for determining whether and how to use SignBreezy.
This includes responsibility for:
- the contents and legal sufficiency of rental agreements;
- determining which agreements, disclosures, notices, house rules, taxes, fees, and other terms are required;
- determining what information should be collected from guests;
- obtaining any notices, permissions, or consents required to collect and process guest information;
- determining whether collecting identification or performing identity verification is lawful and appropriate;
- configuring retention periods consistent with applicable laws and business requirements;
- verifying information generated, imported, calculated, or populated by SignBreezy before relying upon it; and
- complying with applicable rental, lodging, tax, privacy, consumer-protection, accessibility, electronic-signature, and other laws.
SignBreezy may provide templates, suggested language, calculations, tax information, or other information as a convenience. Such information is not legal, tax, accounting, or other professional advice.
4. Agreements and Templates
Hosts may upload agreements or create or connect documents for use as templates.
SignBreezy may automatically populate templates using information obtained from reservations, property settings, guests, Hosts, formulas, or other configured data sources.
The Host remains responsible for reviewing the resulting agreement and determining whether it is appropriate for the applicable reservation and jurisdiction.
We do not guarantee that a template or completed agreement is legally enforceable, complete, current, or suitable for any particular jurisdiction or transaction.
5. Guest Information
Hosts may configure SignBreezy to request information from guests, including names, addresses, email addresses, telephone numbers, additional guest information, vehicle information, acknowledgments, and other information.
Guests should provide accurate information when completing an agreement.
Information supplied by a guest may automatically populate the Host's agreement or related records.
6. Government ID Collection
Hosts may require adult guests or signers to provide a government-issued identification document.
When enabled, SignBreezy may store a copy of the identification document and information extracted from it.
Collection of an ID alone does not mean that SignBreezy has authenticated the document or independently confirmed the guest's identity unless the Host has also enabled identity verification.
7. Identity Verification
Hosts may optionally enable identity verification for eligible adult guests or signers.
Identity verification is intended to provide additional information regarding whether an identification document appears authentic and whether the individual completing verification appears to match the identification presented.
Identity verification may require a guest to provide a government-issued identification document, photograph, selfie, video or liveness capture, and related information. Verification may involve processing biometric information or biometric identifiers where permitted by applicable law.
SignBreezy currently uses Didit as a third-party identity-verification provider. Didit's current verification notice says verification may process identity information, documents, selfies, face images, videos, liveness captures, derived biometric data, device/IP information, fraud signals, and verification results.
A successful verification result does not guarantee that:
- a person is trustworthy;
- information unrelated to the verification is accurate;
- a reservation is legitimate or free from fraud;
- the guest will comply with an agreement;
- the guest has no criminal or other history; or
- a loss, chargeback, property damage, rule violation, or other incident will not occur.
SignBreezy's identity verification service is not a background check.
8. Electronic Signatures
SignBreezy facilitates electronic signatures and records associated with the signing process.
By using electronic-signature features, Hosts agree to conduct applicable transactions electronically and authorize SignBreezy to facilitate the electronic-signature process.
Hosts are responsible for determining whether electronic signatures are appropriate or legally sufficient for their particular agreements and jurisdiction.
Adult guests presented with an agreement may be required to affirmatively consent to electronic records and signatures before signing.
9. Third-Party Services
SignBreezy relies on or integrates with third-party services, which may include:
- Didit for identity verification;
- Stripe for payment processing;
- Google services, including Google Docs;
- booking platforms and reservation services;
- email providers; and
- hosting, infrastructure, communications, analytics, and security providers.
Your use of a third-party service may also be subject to that provider's terms and privacy practices. Stripe's current data-processing terms explain that Stripe may operate as a processor or controller depending on the processing activity. Didit currently states that its customers determine what verification data is collected and how long it is retained, while Didit processes verification information on their instructions. We are not responsible for the independent availability or operation of third-party services.
10. Fees and Payment
Certain SignBreezy features require payment.
Subscription fees, usage fees, identity-verification fees, and other applicable charges will be disclosed before they are incurred.
Identity verification may be charged per verification attempt, completed verification, guest, signer, or another basis identified in the applicable SignBreezy interface.
Payments are processed using Stripe. SignBreezy does not need to store full payment-card numbers when those payment credentials are collected and processed directly by Stripe.
You authorize us and our payment processor to charge amounts associated with your use of paid Services.
11. Subscriptions, Cancellation, and Refunds
Subscriptions continue for the subscription term selected at purchase.
You may cancel a subscription at any time. Unless otherwise stated, cancellation takes effect at the end of the then-current paid subscription term, and access to paid features continues through that date.
Refunds are available upon request. Refund requests may be submitted to legal@signbreezy.com or through any support method provided in the Service.
12. Data Retention
Hosts may configure retention periods for certain agreements, IDs, and associated records.
A Host is responsible for selecting retention settings appropriate to its legal and business requirements.
Following closure of a SignBreezy account, SignBreezy generally retains account data for 30 days before deletion or de-identification, subject to backups, legal requirements, dispute preservation, fraud prevention, security needs, or other legitimate obligations.
Some information may be retained longer where required by law or reasonably necessary to establish, exercise, or defend legal claims.
Third-party providers may maintain information according to their own retention arrangements and our configurations with those providers.
13. Acceptable Use
You may not use SignBreezy to:
- violate applicable law;
- commit or facilitate fraud;
- impersonate another person;
- collect personal information without appropriate authority;
- unlawfully discriminate against guests or prospective guests;
- upload malware or interfere with SignBreezy's systems;
- gain unauthorized access to accounts, systems, or information;
- use identity verification for an unauthorized purpose; or
- use SignBreezy to conduct background checks or make decisions regulated by laws governing consumer reports unless expressly authorized by SignBreezy.
We may suspend or terminate access where reasonably necessary to address suspected fraud, abuse, security threats, or violations of these Terms.
14. Intellectual Property
SignBreezy and its software, interfaces, branding, designs, and other proprietary materials are owned by Stacks Cloud LLC or its licensors.
Hosts retain their rights in agreements, templates, documents, logos, content, and other materials they submit to SignBreezy.
You grant us the limited rights necessary to host, process, reproduce, modify, transmit, and otherwise handle your content solely as necessary to provide, secure, maintain, and improve the Services, subject to our Privacy Policy and applicable law.
15. Service Availability
We work to provide reliable Services but do not guarantee uninterrupted or error-free operation.
Features may change over time, and integrations may become unavailable because of changes made by third-party providers.
16. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNBREEZY IS PROVIDED "AS IS" AND "AS AVAILABLE."
STACKS CLOUD LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT INFORMATION IMPORTED, EXTRACTED, GENERATED, CALCULATED, VERIFIED, OR POPULATED BY SIGNBREEZY WILL ALWAYS BE COMPLETE OR ERROR-FREE.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKS CLOUD LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
18. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Stacks Cloud LLC and its affiliates, officers, employees, contractors, and agents from third-party claims arising from your agreements, properties, content, violation of these Terms, violation of applicable law, or unauthorized collection or use of guest information.
19. Termination
You may stop using SignBreezy and close your account at any time.
We may suspend or terminate access for material violation of these Terms, fraud, abuse, security threats, legal requirements, or nonpayment.
Where reasonably practicable, we will provide notice before terminating an account for a curable breach.
20. Arbitration Agreement and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for matters eligible for small claims court and claims seeking appropriate injunctive relief relating to intellectual-property rights, you and Stacks Cloud LLC agree that disputes arising out of or relating to these Terms or SignBreezy will be resolved through individual binding arbitration rather than in court.
The Federal Arbitration Act governs this arbitration agreement.
Before commencing arbitration, the party asserting a dispute must provide written notice describing the dispute and requested resolution and allow the other party 30 days to attempt an informal resolution.
Notices to SignBreezy may be sent to legal@signbreezy.com.
Arbitration will be administered by [AAA/JAMS — ATTORNEY TO SELECT] under the applicable consumer or commercial rules.
Arbitration will occur on an individual basis. Neither party may pursue claims as a plaintiff or class member in a class, collective, consolidated, or representative proceeding to the extent permitted by law.
You may opt out of this arbitration provision by notifying us at legal@signbreezy.com within 30 days after first accepting these Terms.
21. Governing Law
Except to the extent superseded by federal law or the arbitration provision above, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
22. Changes
We may update these Terms from time to time. If changes materially affect your rights, we will provide reasonable notice as required by applicable law.
